1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Yaia (“Company”, “we”, “us”, or “our”), governing your access to and use of the Yaia platform, including all associated websites, software, APIs, dashboard interfaces, and AI-powered chat widgets (collectively, the “Service”).
By accessing or using the Service, creating an account, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Yaia provides an AI-powered chat receptionist platform that enables businesses to deploy intelligent conversational agents on their websites. The Service includes, but is not limited to:
- Automated website content crawling and knowledge indexing
- AI-generated responses to visitor inquiries based on your indexed content
- Automated lead capture, qualification, and delivery
- A management dashboard for bot configuration, analytics, and content management
- White-label deployment capabilities for agency users
- Integration APIs for third-party systems
- Automated owner notification and bot improvement workflows
The Service is intended for business use. Yaia is not a consumer product and is designed to be deployed on business websites to interact with that business's clients and visitors.
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. By registering, you represent that you meet these requirements.
3.2 Account Creation
To access the Service, you must register for an account using Auth0 authentication. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 Organization Accounts
If you register on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. The organization is the account holder, and individual users are members granted access by the account administrator. Administrators are responsible for managing member access and ensuring member compliance with these Terms.
4. Subscription Plans and Billing
4.1 Plans
The Service is offered under the following subscription tiers: Starter ($69/month), Professional ($129/month), and Agency (custom pricing starting from $249/month per client). Each plan includes specific limits on messages, domains, and indexed pages as described on our pricing page.
4.2 Free Trial
All plans include a 14-day free trial. No payment information is required to begin a trial. At the end of the trial period, your account will require a paid subscription to continue using the Service.
4.3 Billing and Payment
Subscriptions are billed monthly in advance. Payment is processed through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method on a recurring basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
4.4 Plan Limits and Overages
Your subscription plan includes defined usage limits. If you exceed these limits, we may suspend your Service, require an upgrade, or charge overage fees as communicated to you in advance. We will make reasonable efforts to notify you when you are approaching plan limits.
4.5 Cancellation
You may cancel your subscription at any time through the account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date. We do not provide refunds for partial billing periods.
5. Acceptable Use
5.1 Permitted Use
You may use the Service only for lawful business purposes in accordance with these Terms and all applicable laws and regulations.
5.2 Prohibited Conduct
You agree not to use the Service to:
- Deploy bots that impersonate other entities, spread misinformation, or engage in deceptive practices
- Collect personal data without appropriate legal basis or required disclosures to end users
- Process sensitive personal data categories (health, financial, biometric) without appropriate safeguards
- Violate any applicable law including GDPR, consumer protection laws, or data protection regulations
- Attempt to circumvent usage limits, security measures, or access controls
- Reverse engineer, decompile, or extract the underlying AI models or proprietary algorithms
- Resell or sublicense the Service except as expressly permitted under the Agency plan
- Use the Service in any way that could damage, overburden, or impair our infrastructure
6. Content and Data
6.1 Your Content
You retain ownership of all content you provide to the Service, including website content crawled at your direction, documents uploaded by you, and configuration data (“Your Content”). By using the Service, you grant Yaia a limited, non-exclusive, royalty-free license to access, process, and use Your Content solely to provide the Service to you.
6.2 Website Crawling
When you provide a domain for crawling, you represent and warrant that you have the legal right to authorize Yaia to access and index that website's content. You are responsible for ensuring that your use of the crawling feature complies with the target website's terms of service and applicable law.
6.3 AI-Generated Content
The Service generates responses using AI models based on your indexed content. While we design the system to respond only based on your provided content, AI systems can produce unexpected outputs. You are responsible for reviewing bot behavior and configuring guardrails appropriate to your use case. Yaia does not warrant that AI-generated responses will always be accurate, complete, or appropriate.
6.4 Lead Data
The Service collects personal data from your website visitors on your behalf when they interact with your chat widget. You are the data controller for this lead data. You are responsible for ensuring that your use of lead capture complies with applicable privacy laws and that appropriate disclosures are made to your website visitors.
7. Agency and White-Label Terms
7.1 Agency Accounts
Agency plan subscribers may deploy the Service on behalf of their clients under white-label branding. As an Agency user, you are responsible for ensuring that each client deployment complies with these Terms and applicable law. You may not represent Yaia's Service as your own proprietary technology in a manner that would mislead your clients about the nature of the underlying platform.
7.2 Client Responsibility
Agency users are responsible for all activity under bots deployed for their clients. You must ensure that your client agreements include appropriate provisions regarding data processing, AI-generated content, and acceptable use consistent with these Terms.
8. Intellectual Property
The Service, including all software, algorithms, interfaces, designs, and documentation, is owned by Yaia and protected by intellectual property laws. These Terms do not grant you any rights to Yaia's intellectual property except the limited license to use the Service as described herein. The Yaia name, logo, and branding are trademarks of the Company.
9. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. To the fullest extent permitted by law, Yaia disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated responses will be accurate or complete.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Yaia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability to you for any claims arising under these Terms shall not exceed the amounts paid by you to Yaia in the three months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Yaia and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your deployment of bots on behalf of clients.
12. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or conduct that we reasonably determine to be harmful to other users or the Service. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination, after which we may delete your data in accordance with our Privacy Policy.
13. Governing Law and Disputes
These Terms are governed by the laws of Norway. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Norway. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the dashboard at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
